Terms of Service

1. Introduction

These terms of service ("Terms") govern your use of the services provided by Qubit Solutions Ltd ("I", "me", "my"), a company registered in England & Wales. By engaging my services or using my software products, you agree to be bound by these Terms.

2. Services

I provide the following services:

  • Software Engineering Consultancy — professional services including product development, system modernisation, technical leadership, and advisory. Consultancy engagements are governed by individual statements of work agreed in writing.

3. Payment Terms

Payment terms are as follows:

  • Consultancy services are billed as agreed in the relevant statement of work, typically on a time-and-materials or fixed-price basis. All prices are quoted in GBP unless otherwise stated. Invoices are payable within 30 days of issue.

4. Refund & Cancellation Policy

Cancellation terms are specified in the relevant statement of work. Where no specific terms are agreed, either party may terminate the engagement with 30 days' written notice. Work completed up to the date of termination will be invoiced and is payable.

5. Intellectual Property

Intellectual property ownership for deliverables will be defined in the relevant statement of work. Unless otherwise agreed, intellectual property in bespoke work created for a client is assigned to the client upon full payment.

6. Limitation of Liability

To the maximum extent permitted by law, Qubit Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly.

My total liability in respect of any claim shall not exceed the amount paid by you to me in the 12 months preceding the claim.

Nothing in these Terms excludes or limits my liability for death or personal injury caused by my negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

7. Data Protection

I process personal data in accordance with my Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.

9. Changes to These Terms

I reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. I will provide reasonable notice of any material changes to active clients.
